1. Services
CE Orbit provides IT services including web development, Power Platform solutions, AI integration, and related consulting. The scope of each project is defined in a separate agreement or proposal.
2. Payments
Payments are processed through Razorpay in Indian Rupees (INR). Invoices are due upon receipt unless otherwise agreed. Late payments may be subject to a reasonable interest charge.
3. Intellectual Property
Upon full payment, the client receives ownership of all custom code and designs created specifically for their project. CE Orbit retains the right to use generic components, libraries, and frameworks across projects.
4. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of a project. This obligation survives the end of the engagement.
5. Limitation of Liability
CE Orbit's total liability is limited to the amount paid for the specific service. We are not liable for indirect, incidental, or consequential damages.
6. Termination
Either party may terminate a project with 14 days written notice. The client is responsible for payment of work completed up to the termination date.
7. Governing Law
These terms are governed by the laws of India. Any disputes shall be resolved through arbitration in accordance with the Indian Arbitration and Conciliation Act.
8. Changes
We may update these terms from time to time. Continued use of our services constitutes acceptance of the updated terms.
